This post points to two contracts posted by SEO professionals that I follow on Twitter.

Status_Girl posted a sample contract she uses for her SEO clients. After the standard this is not legal advice Status_Girl says:

Having bounced around the SEO industry for the past few years, I’ve managed to keep a record of (what I consider to be) useful information when it comes to dealing with SEO clients. When I was an SEO consultant I used this information to create a personalized SEO contract for my business. With all the hoopla out there about SEOs being snakes, deadbeats, etc, I figured now would be an excellent time to share it. I’d like to extend a big “thank you” to Sarah Bird, who recently helped me with some of the legal mumbo jumbo.

Wingnut posted a sample SEO contract on his blog recently. No introductory comments, just the contract. But nice nonetheless. It’s a little more, shall we say, unconventional.

This Agreement (as hereinafter defined) is by and between Apple Inc. (“APPLE”), having its principal place of business at 1 Infinite Loop, Cupertino, California 95014, and RHI Entertainment Distribution, LLC (“SUPPLIER”), having its principal place of business at 1325 Avenue of the Americas, New York, New York 10019, and is entered into as of the date this Agreement set forth below and is effective once signed by both APPLE and SUPPLIER (the “Effective Date”).

WHEREAS, APPLE desires to sell permanent Video (as hereinafter defined) downloads of certain Videos and other audio-visual content owned by SUPPLIER; and

WHEREAS, SUPPLIER is willing to allow the Sale (as hereinafter defined) of permanent Video downloads of certain such audio-visual content, as set forth herein.

NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, APPLE and SUPPLIER (collectively the “Parties”) hereby agree as follows:

1. Definitions.

The following terms shall have the following meanings for purposes of this Agreement:

(a) “Agreement” means this Agreement and the exhibits expressly attached hereto and made a part hereof. In the event of any conflict between the provisions set forth in the main body of this Agreement and any exhibit, the conflicting provisions set forth in the applicable exhibit shall control.

(b) “Artwork” means any artwork relating to SUPPLIER Content that SUPPLIER owns, controls or has Cleared (as hereinafter defined) for use or exploitation in accordance with Section 2 hereof and otherwise in accordance with the other terms of this Agreement.

(c) “broadcast” means any telecast or cablecast by any means now known or hereafter devised including, without limitation, by way of over the air, cable, and satellite systems.

(d) “Content File” means a digital file containing SUPPLIER Content, Artwork (if any), parental advisory notices (if any), copyright notices (if any), and associated metadata that the Parties mutually agree upon in writing, or which SUPPLIER or its designees delivers to APPLE hereunder.

Paradigm Funds (the “Trust”) herewith confirms our agreement with you.

The Trust has been organized to engage in the business of an investment company. The Trust currently offers several series of shares to investors, one called the Paradigm Intrinsic Value Fund (the “Fund”).

You have been selected to act as the sole investment Advisor of the Fund and to provide certain other services, as more fully set forth below, and you are willing to act as such investment Advisor and to perform such services under the terms and conditions hereinafter set forth. Accordingly, the Trust agrees with you as follows effective upon the date of the execution of this Agreement.

ADVISORY SERVICES

You will regularly provide the Fund with such investment advice as you in your discretion deem advisable and will furnish a continuous investment program for the Fund consistent with the Fund’s investment objective and policies. You will determine the securities to be purchased for the Fund, the portfolio securities to be held or sold by the Fund and the portion of the Fund’s assets to be held uninvested, subject always to the Fund’s investment objective, policies and restrictions, as each of the same shall be from time to time in effect, and subject further to such policies and instructions as the Board of Trustees may from time to time establish.

THIS FORBEARANCE AGREEMENT (this “Agreement”), dated as of September 22, 2006, is entered into by and among the Lenders signatory hereto, ABLECO FINANCE LLC, a Delaware limited liability company, as collateral agent and administrative agent for the Lenders (in such capacities, “Agent”), MAGNETEK, INC., a Delaware corporation (“Borrower”), and each of Borrower’s Subsidiaries identified on the signature pages hereof (such Subsidiaries, together with Borrower, are referred to hereinafter as a “Loan Party” and individually and collectively, jointly and severally, as the “Loan Parties”). Terms used herein without definition shall have the meanings ascribed to them in the Financing Agreement defined below.

3. Agreement to Forbear. For the Forbearance Period (as defined below), the Agent and Lenders shall not take any action or commence any proceedings with respect to the enforcement of any of their rights or remedies under the Loan Documents as a result of the Known Existing Defaults. The parties agree that neither the foregoing agreement by Agent and Lenders nor the acceptance by Agent or Lenders of any of the payments provided for in the Loan Documents, nor any payment prior to the date hereof shall, however, (a) excuse any party from any of its obligations under the Loan Documents (other than as set forth in Section 5 below), or (b) toll the running of any time periods applicable to any such rights and remedies, including, without limitation, any grace periods with respect to Defaults under the Loan Documents or otherwise. Each Loan Party agrees that it will not assert laches, waiver or any other defense to the enforcement of any of the Loan Documents based upon the foregoing agreement Agent and Lenders to forbear or the acceptance by Agent or Lenders of any of the payments provided for in the Loan Documents or any payment prior to the date hereof. As used herein, “Forbearance Period” shall mean the period commencing upon the effectiveness of this Agreement and continuing until the earlier to occur of: (x) any Default or Event of Default under any of the Loan Documents (other than any Known Existing Default) or (y) October 31, 2006.

(d) Non-Contravention. Except as set forth in Schedule 4.01(d), the execution, delivery and performance by it of the Transaction Documents to which it is a party does not and shall not (i) contravene or conflict with its charter, bylaws or other organizational documents, (ii) assuming compliance with the matters referred to in Section 4.01(c), contravene or conflict with, or constitute a violation of, any provisions of any Applicable Law binding upon it, or (iii) assuming compliance with the matters referred to in Section 4.01(c), constitute a default under, or give rise to any right of termination, cancellation or acceleration of, or to a loss of any benefit to which it is entitled under, any Contract binding upon it or any license, franchise, permit or similar authorization held by it except, in the case of clauses (ii) and (iii), for any such contravention, conflict, violation, default, termination, cancellation, acceleration or loss that would not reasonably be expected to be material to the Coors Business.

(e) Litigation. Except as set forth in Schedule 4.01(e), there is, as of the date hereof, no Proceeding pending, or to CBC’s knowledge, threatened against or affecting a Molson Coors Group Company or the Coors Joint Ventures relating to the Coors Business or to the Contemplated Transactions before (or that could come before) any Governmental Authority that would reasonably be expected to result in a Loss to the Coors Business in excess of $2,500,000 or otherwise be material to the Coors Business or the ability of the Parties to timely consummate the Contemplated Transactions.

WHEREAS, the Trademarks are unique, extraordinary, valuable and have acquired and established outstanding reputation and goodwill; and

WHEREAS, Licensee recognizes the great value and goodwill associated with the Trademarks and that all rights to the Trademarks and the associated goodwill belong exclusively to the Licensor and that the Trademarks have acquired a secondary meaning to the public; and

2.4 Identification. On backing cards of each Licensed Product, Licensee shall include the following language:

Manufactured by Signature Eyewear, Inc. under license from Kobra International, Ltd. [Insert specific Trademark] is a registered trademarks of Kobra International, Ltd. All rights reserved.

Licensee shall place any other notices, reflecting ownership as required by Licensor, on all Licensed Products, samples, packaging, backing cards, advertising, public relations and promotional materials.

Well, the company Research and Markets.com sells what they call the “Co-promotion and Co-marketing Agreements in Biopharma” report which “provides comprehensive understanding and unprecedented access to the co-promotion and co-marketing partnering agreements entered into by the worlds leading biopharma companies.” The report description further states:

This report contains over 500 links to online copies of actual co-promotion and co-marketing contract documents as submitted to the Securities Exchange Commission by biopharma companies and their partners.

Doesn’t that sound like what 270Legal does. While I don’t give it to you in report form, you can run a search or click on one of the category tags to see similar agreements. This company charges EUR 1,695.00, which is a lot in US dollars.
