6.1 Confidential Information. Each party acknowledges and agrees that all
business and technical information provided to it by the other party
pursuant to this Agreement constitutes confidential and/or proprietary
information of the other party (“Confidential Information”).
Confidential Information shall includes all oral, written or recorded
confidential and/or proprietary information about or related to the
disclosing party or its business, including without limitation the
terms and conditions of this Agreement. Notwithstanding the foregoing,
Confidential Information does not include information that (i) is or
becomes publicly available without breach of this Agreement; (ii) can
be shown by documentation to have been known to the receiving party
prior to its receipt from the disclosing party; (iii) is rightfully
received from a third party who did not acquire or disclose such
information by a wrongful or tortious act; (iv) can be shown by
documentation to have been developed by the receiving party without
reference to any Confidential Information; or (v) that the receiving
party becomes legally obligated to disclose to a governmental entity
with jurisdiction over it. In addition, each party is entitled to
disclose the terms and conditions of this Agreement (vi) as required
by law, including applicable securities law, and (vii) to banks,
proposed investors and financing sources, where disclosure is related
to securing additional financing for that party.

2. Licensed Songs: A total of 2,500 songs. After this Agreement becomes
effective, Party A shall license Party B to use 1,000 musical products named in
Attachment 1 hereto. In addition, Party B shall have the right to select
additional 1,500 musical products for use from the musical products administered
by Party A as licensed songs (hereinafter referred to as “Additional Songs”)
from time to time according to market demand and the need of the Subscribers.
The parties hereto shall execute a supplemental agreement in writing to define
the scope of these Additional Songs. A list of licensed songs attached hereto as
an attachment shall be an integral part of this Agreement and shall take effect
after it is affixed with the across perforation seal of Party A.

a)
Network will provide Company with an initial 60 hours of Content as follows: 30 hours in month #1, and an additional 30 hours in month #2, and will continue to deliver Content on a monthly basis as specified in Section 10 below.

b)
Individual Titles as listed in Appendix A and provided by Network will be available for Company usage, as defined herein, for one year, limited to the three-year term of this agreement. Upon expiration of individual titles, Company may continue usage of expired titles as “New Content” as required in Paragraph 10 below, to maintain programming needs.

c)
For all rights described herein, Company will pay Network a licensing fee of $150,000 annually for three years, for a total licensing fee of $450,000, to be paid as follows:

i)
$25,000 upon the Effective Date of this Agreement for the initial 60 hours of Content, and

ii)
$12,500 in monthly installments beginning the second month from the time content initially airs, not to exceed thirty (30) days from initial delivery date, and continuing for each of the remaining 34 months of the Term as defined in point 7 below.

d)
Upon the Effective Date of this agreement, Company will pay Network $12,500 to be deducted from the final payment of year 3, and $12,500 upon receipt of the first 60 hours of content.

6) Advertising and Merchandising Revenue:
The Parties agree that all Advertising Revenue derived as a result of this agreement shall be retained by Company. Merchandising Revenue shall not be included in this agreement, and any Merchandising ventures desired to be undertaken by the Company to create, license or sell merchandise in relation to the Content being distributed by Company shall be negotiated with Network separately.

a)
“Advertising Revenue” shall mean gross commercial advertising revenue (less applicable agency commissions) actually received from the insertion of Commercial Spots.

b)
“Merchandise” shall mean a videocassette and/or DVD of any kind, or any other product based on the Content or bearing Network’s Marks.

(i) Within the Themed Area:

(1) Rides, attractions, signage, facades, atmospheric elements and themed areas;

(2) Consumables;

(3) Retail stores, kiosks and other retail stands;

(4) Themed restaurants, portable food cart locations and other food stands;

(5) Atmospheric strolling costumed characters (e.g., generic *** students), ****;

(6) Clips (subject to Section 4.5 below);

(7) “Green screen” photographic venues at which images of guests will be incorporated within Clips or Stills (defined below) made available by Licensor to Licensee for such purpose, each of which may contain images of environments and sets from the Movies, as defined below, and each of which may contain character images of the talent from the Movies (subject to Licensor approval in its sole and absolute, but good faith, discretion and provided that no image of a guest may touch, gesture at, interact with or be “morphed” into or on, any character image of any talent from the Movies), which “green screen” photographic images shall be sold to such guests as souvenir merchandise; and

(8) Street entertainers and movie props (and, if available and if approved by Licensor, in the sole and absolute but good faith discretion of Licensor, sets and costumes) integrated into the themed environment.
(ii) Within the Theme Park (but not within other themed lands or islands at the Theme Park, other than the “Port of Entry” portion of the Theme Park), the Themed Area and the Resort:

(1) Licensed Products;

(2) Licensed Premiums;

(3) Printed matter, including but not limited to, tickets, brochures, Theme Park maps, menus and signage; and

(4) For the press event associated with the Grand Opening and thereafter for private events within the Theme Park (i.e., events that are not open to the general public), atmospheric strolling costumed characters (e.g., generic *** students), ****.
(iii) Within and outside the Theme Park, the Themed Area and the Resort:

(1) In advertising, marketing and promotion for the Theme Park, the Themed Area and/or the Resort, including, without limitation, sweepstakes, signage, brochures, newspapers, magazines and other print media, billboards, radio and television, in cinema and on the internet;

(2) Atmospheric strolling costumed characters (e.g., generic *** students), ****, at trade shows and promotional events that are open to the trade only (e.g., travel agency conventions); and

(3) Display elements at the retail stores located near the main entrance/exit of the Theme Park and the retail stores located at *** and at the *** Orlando on site resort hotels and at Resort-themed stores at Orlando International Airport and at the liquidation stores in Orlando at which a variety of merchandise based on Resort attractions and characters are sold.

3.4 Change in Control Payment. The Executive shall be entitled to receive from the rabbi trust funding the obligations under the Univision Communications, Inc. Change in Control Severance Plan and Change in Control Retention Plan a cash payment of $9,300,000 and a cash payment of a pro rata bonus equal to $2,200,000 multiplied by a fraction, the numerator of which is the number of days in 2007 preceding and including the Effective Date and the denominator of which is 365, each of such payments to be paid on the Effective Date or the day after, less applicable tax withholding. Further, Executive shall be entitled to receive a cash payment on the Effective Date or the day after, equal to $5,437,500 in exchange for the cancellation of Executive’s 150,000 restricted stock units granted on May 18, 2006 pursuant to the Company’s Change in Control Retention Plan, subject to applicable tax withholding. In exchange for the payments and benefits described in this Section 3.4, Executive shall execute and deliver to the Company a release waiving his rights to any benefit or payment under the Company’s Change in Control Severance Plan and Change in Control Retention Plan and consenting to the termination of such plans with respect to Executive in a form as set forth in Exhibit F; provided, however, that Executive shall be entitled to and shall not waive or release his rights with respect to (i) the parachute gross up protection set forth in Section 4 of the Change in Control Severance Plan and (ii) reimbursement for all reasonable legal fees and expenses incurred in seeking to obtain or enforce any right or benefit set forth in Section 4 of the Change in Control Severance Plan (other than any such fees and expenses incurred in pursuing any claim determined by an arbitrator or by a court of competent jurisdiction to be frivolous or not to have been brought in good faith).
