1. Patel hereby warrants and represents that it has full right title and interest in and to certain common stock of FAME referenced herein and the capacity to execute this Term Sheet and to grant the rights contained herein.
2. FAME, through its subsidiary, East Mojave Corporation, hereby warrants and represents that it has full right title and interest in and to a hypothecated interest granted to it by SRS Properties, LLC in and to the Limited Liability interest representing 50% of the entire of Wilcox Partnership, LLC (the “Hypothecated Interest”), which sole and exclusive asset is 28.3 acres of undeveloped commercial land located outside Wilcox, Arizona (APN 203-10- 013) referenced herein and the capacity to execute this Term Sheet and to grant the rights contained herein.
